These Terms constitute a legally binding agreement between you and SGX Remit (Private) Limited, a company duly incorporated under the laws of the Republic of Zimbabwe ("SGX Remit," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

You represent that you are legally capable of entering into contracts under the laws of Zimbabwe. If you are entering into these Terms on behalf of an entity, you represent that you have the authority to bind that entity.

You further represent that you are:

  • Not subject to sanctions or listed on any restricted or prohibited persons list maintained by the United Nations, the Government of Zimbabwe, the United States, the European Union, the United Kingdom, or any other applicable authority; and
  • Not located in a jurisdiction subject to comprehensive sanctions that would prohibit your use of the Services.

1. General; Third-Party Content and Services; Support

You may access and use the Services only in compliance with these Terms and all applicable laws and regulations of Zimbabwe and any other applicable jurisdiction.

Certain Services may include or rely on third-party content, platforms, software, or services ("Third-Party Content" and "Third-Party Services"). Your use of Third-Party Content or Services is at your own discretion and risk and may be subject to separate terms and privacy policies of the relevant third parties.

SGX Remit does not control, verify, endorse, or assume responsibility for Third-Party Content or Services and disclaims all liability arising from your reliance on or use of them.

Any technical or customer support provided by SGX Remit is offered on an "as available" basis for informational purposes only. SGX Remit does not guarantee the accuracy or outcome of any support provided and will not be liable for losses arising from reliance on such support, except in cases of gross negligence or wilful misconduct under Zimbabwean law.

SGX Remit will never request your private keys, recovery phrases, or request payments via unofficial communication channels.

2. Changes to Services and Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also amend these Terms from time to time by posting updated Terms on our website. Material changes will apply prospectively.

8. Limitation of Liability

To the fullest extent permitted by Zimbabwean law:

  • SGX Remit shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill.
  • SGX Remit's total aggregate liability shall not exceed the fees paid by you to SGX Remit in the twelve (12) months preceding the event giving rise to the claim.
  • Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.
